Terms of Service

Welcome to Zorvus. These terms govern your use of our service. By creating an account or using Zorvus, you agree to these terms.

If you're using Zorvus on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms. In that case, "you" refers to your organization.

1. Using Zorvus

Your Account

When you create an account, you get a personal license to use Zorvus for its intended purpose. This license is non-transferable - you can't sell or give your account to someone else. You can use Zorvus for personal or business purposes, but only in ways that comply with applicable laws.

What You Can't Do

To keep Zorvus running smoothly for everyone, you agree not to:

• Reverse engineer, decompile, or attempt to extract our source code
• Resell or redistribute Zorvus to others
• Use Zorvus for illegal purposes or to harass others
• Attempt to bypass security measures or access areas you're not authorized to access
• Overload our systems with excessive automated requests
• Upload malware, viruses, or malicious code

Account Security

You're responsible for maintaining the security of your account. Keep your password safe, and let us know immediately if you suspect unauthorized access. Make sure your billing information stays current.

2. Your Content and Data

Ownership

Everything you create, upload, or store in Zorvus belongs to you. We don't claim ownership of your content. You're responsible for ensuring you have the right to use any content you put into Zorvus.

License to Operate

To provide our service, you grant us permission to host, store, and process your content. We only use your content to operate Zorvus, improve the service, and fulfill our legal obligations. We may create anonymized, aggregated data from usage patterns that can't be traced back to you or your organization.

Data Security

We implement reasonable security measures to protect your data. However, you understand that no system is perfectly secure, and you use Zorvus at your own risk.

3. Payments and Billing

Subscription Fees

Zorvus operates on a subscription model. When you subscribe to a plan, you agree to pay the fees listed for that plan. Prices are subject to change, but we'll notify you before any changes affect your subscription.

Payment Processing

Payments are processed through our payment provider (Cashfree). By subscribing, you authorize us to charge your payment method automatically according to your billing cycle. If a payment fails, we may suspend your access until payment is received.

Taxes

Prices don't include applicable taxes unless specified. You're responsible for any sales tax, VAT, or similar charges based on your location.

Late Payments

If your payment is overdue by more than 5 days, we may suspend your account until the balance is paid. Late payments may incur interest charges at a rate of 1.5% per month or the maximum rate allowed by law, whichever is lower.

4. AI Features

Zorvus includes AI-powered features. These features are provided as-is, and their output may not always be accurate or appropriate for your needs. You're solely responsible for reviewing and verifying any AI-generated content before using it. We make no warranties about the accuracy, reliability, or suitability of AI outputs.

5. Third-Party Services

Zorvus may integrate with third-party services and tools. We don't control these external services and aren't responsible for their operation, availability, or content. Your use of third-party services is subject to their own terms and policies.

6. Cancellation and Termination

Canceling Your Subscription

You can cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You'll retain access until then, but no refunds are provided for partial periods.

We May Suspend or Terminate

We reserve the right to suspend or terminate your account if you violate these terms or if we're required to do so by law. We'll provide 30 days notice when possible, except in cases of serious violations or legal requirements.

What Happens After Termination

When your account is terminated, your access ends immediately. We may permanently delete your content and data after a reasonable period, so make sure to export anything you need before canceling.

7. Warranties and Disclaimers

ZORVUS IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DON'T GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We make reasonable efforts to keep Zorvus running reliably, but we can't promise perfection. Technical issues happen, and we're not liable for temporary outages or data loss beyond our control.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZORVUS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF WE'VE BEEN ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS RELATED TO ZORVUS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

9. Indemnification

If your use of Zorvus results in legal claims against us, you agree to defend and indemnify us against those claims. This includes claims arising from your content, your violation of these terms, or your misuse of the service.

10. Confidentiality

Both parties agree to keep confidential information private. This includes your data, our service architecture, these terms, and any proprietary business information. Confidential information can only be disclosed when legally required or with explicit permission.

11. General Terms

Governing Law

These terms are governed by applicable law. Any disputes will be resolved according to the laws of the jurisdiction where Zorvus operates.

Changes to Terms

We may update these terms from time to time. We'll notify you of significant changes via email or through the service. Continued use after changes means you accept the updated terms.

Entire Agreement

These terms, along with our Privacy Policy and any order forms you've accepted, constitute the complete agreement between you and Zorvus. They supersede any prior agreements or discussions.
